General Terms and Conditions

1. Scope

These General Terms and Conditions apply to all contracts for GEO analysis services between AYE Digital UG (limited liability) and its customers, unless explicitly agreed otherwise in writing. The offer is primarily intended for entrepreneurs within the meaning of Section 14 of the German Civil Code. If, by way of exception, contracts are concluded with consumers within the meaning of Section 13 of the German Civil Code, these terms also apply insofar as no mandatory consumer protection provisions prevail.

2. Services

AYE GEO provides digital analysis services for evaluating publicly available website content. The specific scope of services is defined in the product description at the time of order.

3. Formation of Contract

The presentation of services does not constitute a legally binding offer. A contract is concluded only when the customer completes checkout and receives an order confirmation.

4. Prices and Payment

All stated prices are net prices plus applicable VAT unless otherwise indicated. Payment is made using the payment methods offered during checkout.

5. Delivery and Provision

Analysis results are provided digitally via the email address entered in the order and via provided result links. Delivery begins only after receipt of payment or confirmed payment guarantee. Delivery times are non-binding unless explicitly agreed as binding.

6. Withdrawal for Digital Content

For contracts concerning digital content not supplied on a tangible medium, the right of withdrawal expires under Section 356(5) German Civil Code if the customer expressly requests that we begin performance before expiry of the withdrawal period and acknowledges awareness of losing the right of withdrawal.

7. Warranty and Liability

Statutory warranty rights apply. We are liable without limitation in cases of intent and gross negligence. In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract; liability for indirect damages and lost profits is excluded to the extent permitted by law. Mandatory statutory liability remains unaffected.

8. Acceptable Use

The customer may use the service only for lawful purposes and must ensure they are authorized to request analysis of the specified URL. Misuse or unlawful use is prohibited.

9. Rights of Use for Results

Until full payment has been received, all rights to the provided analysis results remain with AYE Digital. Upon full payment, the customer receives a simple, non-exclusive and non-transferable right to use the results for its own business purposes. Any disclosure, publication or other exploitation for third parties requires our prior consent unless mandatory law provides otherwise.

10. Confidentiality

Information from the contractual relationship that is not publicly known must be treated confidentially by both parties and used only for the performance of the respective contract. Statutory disclosure obligations and data processing required under applicable data protection law remain unaffected.

11. Service Boundaries

AYE GEO provides technical and editorial guidance but does not provide binding advice in the following areas:

  • No legal advice or case-specific legal assessment
  • No tax or financial advice
  • No binding guarantee for rankings, visibility, or business outcomes

12. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a merchant, a legal entity under public law, or a special fund under public law, Düsseldorf is the exclusive place of jurisdiction to the extent permitted by law. Individual agreements with the customer take precedence over these terms insofar as they expressly provide otherwise. Should individual provisions of these terms be wholly or partly invalid, the validity of the remaining provisions remains unaffected. This exclusive jurisdiction does not apply to consumers. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Version date: June 2026. We reserve the right to amend these terms with effect for the future.
